2. Eligibility

  • You must be at least 18 years old or have parental/guardian consent to use Smiileys Marketplace.
  • Vendors must provide accurate business details and comply with applicable Nigerian laws and regulations.

3. Account Registration & Security

  • Users must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your login details.
  • Any activity under your account will be deemed your responsibility.

4. Marketplace Role

  • Smiileys Marketplace is a facilitator platform connecting buyers and vendors.
  • We do not manufacture or own the products sold (unless specified as “Sold by Smiileys”).
  • Vendors are responsible for the quality, safety, and legality of their products.

5. Orders & Payments

  • Orders are confirmed once payment is successfully processed.
  • We support multiple payment methods, including USSD, bank transfer, and card payments.
  • In case of failed transactions, refunds (if applicable) will be processed to the original payment method.

6. Shipping & Delivery

  • Vendors and partnered logistics providers are responsible for timely packaging and delivery.
  • Shipping fees, timelines, and logistics options will be displayed at checkout.
  • Smiileys may facilitate delivery in certain cases but is not liable for unforeseen delays.

7. Returns & Refunds

  • Buyers may request a return within 24 hours of receiving an item.
  • Products must be unused, in original condition, and with packaging intact.
  • Perishable items, personal care goods, intimate wear, and digital products are non-returnable.
  • Refunds are processed after inspection and may take 3–7 business days.

8. Vendor Responsibilities

Vendors must:

  • List accurate product descriptions, prices, and availability.
  • Ensure proper packaging and dispatch of orders.
  • Handle customer complaints fairly and in compliance with Smiileys Marketplace policies.
  • Agree to settlements, which may be instantaneous or within 24 hours after order completion.
  • Be solely responsible for the collection and remittance of applicable taxes (such as VAT, sales tax, or any statutory levy) to the relevant tax authorities. Smiileys Marketplace does not withhold or remit taxes on behalf of vendors.

9. Prohibited Activities

Users and vendors agree not to:

  • List counterfeit, illegal, or restricted products.
  • Engage in fraudulent transactions or misrepresentation.
  • Interfere with the website’s security or misuse customer data.
  • Violate Nigerian consumer protection, tax, or trade laws.

10. Fees & Commission

  • Smiileys charges a commission per successful sale, based on product category.
  • Fees may include affiliate commissions, logistics fees, or service charges.
  • Commission structures may be updated, with notice to vendors.

11. Intellectual Property

  • All content on Smiileys Marketplace (logos, text, graphics, images, software) is protected by copyright and trademark laws.
  • Users may not copy, reproduce, or use our intellectual property without prior written consent.

12. Data & Privacy

  • We collect and process data in line with our Privacy Policy.
  • Vendors and buyers agree not to misuse personal data obtained through transactions.
  • Payment-related information is securely processed via third-party gateways (e.g., Monnify/Zoho integration) — Smiileys does not store card or banking details.

13. Limitation of Liability

  • Smiileys Marketplace is not liable for:
    • Damages arising from vendor products.
    • Delivery delays caused by third parties.
    • Losses resulting from user negligence or account misuse.
  • Our total liability shall not exceed the value of the transaction in dispute.

14. Dispute Resolution

  • Disputes should first be reported to our Customer Support Team.
  • If unresolved, disputes may be escalated to arbitration under Nigerian law.

15. Modifications

  • We reserve the right to update these Terms & Conditions at any time.
  • Changes will be effective once published on our website.

16. Governing Law

These Terms & Conditions are governed by the laws of the Federal Republic of Nigeria.
